1. Agreement to Terms

By creating an account, accessing, or using the MastiffMode platform, services, and content (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

MastiffMode LLC ("MastiffMode," "we," "us," "our") may revise these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. Material changes will be noted with a new "Last Updated" date. If a revised version legally requires your affirmative consent, we will notify you and request renewed acceptance before changes take effect.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You represent and warrant that:

You are legally capable of entering into this agreement
You have not been restricted or prohibited from using financial education or trading-related services
You understand the risks associated with trading and financial markets
You are using the Service for legitimate personal development purposes only, not for automated scraping, circumventing access controls, or competitive analysis

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account by providing:

A valid email address
A secure password
Acceptance of three separate, required acknowledgments (see Section 6)

3.2 Account Security

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to:

Provide accurate, current, and complete information
Update information as needed
Notify us immediately of any unauthorized access
Not share your account credentials with others
Not permit others to use your account

MastiffMode is not liable for unauthorized access resulting from your failure to maintain account security.

3.3 Account Restrictions

MastiffMode may suspend or terminate your account if you:

Violate these Terms
Engage in illegal activity
Use the Service to circumvent access controls or security measures
Attempt to gain unauthorized access to MastiffMode systems or other users' data
Abuse the Service in a manner that harms other users or MastiffMode operations

4. License Grant and Restrictions

4.1 Limited License

Subject to your compliance with these Terms, MastiffMode grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, educational trader-development purposes only.

4.2 Restrictions on Use

You may not, and agree not to:

Copying and Reproduction

Copy, reproduce, or duplicate any MastiffMode curriculum materials, lessons, assessments, labs, or educational content
Screenshot or save MastiffMode proprietary content for redistribution
Download curriculum materials en masse using automated tools

Derivative Works

Create derivative works based on MastiffMode educational materials
Adapt, modify, translate, or otherwise alter MastiffMode curriculum
Repackage or rebrand MastiffMode educational content

Distribution

Redistribute, resell, or sublicense any MastiffMode educational materials
Share curriculum access credentials with others
Permit others to access the Service using your account
Publicly share or distribute lessons, assessments, or labs

Reverse Engineering

Reverse engineer, decompile, or disassemble the Service or MastiffMode software (except where such restrictions are prohibited by applicable law)
Attempt to circumvent technical protections or access controls
Extract or harvest code, algorithms, or technical systems

Competitive Use

Use MastiffMode materials to build, train, or improve competing products or services
Use MastiffMode curriculum to train AI systems without authorization
Extract MastiffMode content for use in competing trading-education platforms
Benchmark MastiffMode materials against competing platforms

Scraping and Automated Access

Scrape, crawl, or automatically extract data from the Service
Use automated tools to bulk-download or bulk-access MastiffMode content
Monitor, collect, or aggregate Service data without authorization
Use bots or scripts to access the Service in ways that burden our infrastructure

Removal of Notices

Remove, obscure, or alter copyright, trademark, or proprietary notices
Remove MastiffMode attribution from any materials you use or reference

4.3 Permitted Uses

For personal learning and development only:

Read and study lessons, assessments, and course materials
Complete quizzes, labs, and checkpoints
Take personal notes (stored in your own records, not our systems)
Review your own progress and development

5. MastiffMode Content and Intellectual Property

5.1 Ownership

MastiffMode and its licensors retain all right, title, and interest in and to the Service and all MastiffMode Content, including:

Software, source code, and object code
Original user-interface elements and visual designs
Documentation and technical specifications
Original educational materials and curriculum content
Assessments, quizzes, labs, and exam questions
Original graphics, diagrams, and illustrations
Case studies, scenarios, and examples
Glossaries, concept maps, and study materials
Databases, compilations, and collections
Analytics presentations and reports
Trademarks, logos, branding, and trade names
Mentor materials and training content
All other proprietary materials created or selected by MastiffMode

Except for the limited license granted in Section 4.1, no ownership right is transferred to you. Your use does not create any ownership interest in MastiffMode Content.

5.2 What MastiffMode Does Not Claim

MastiffMode does not claim copyright ownership over:

General trading knowledge, methods, or systems
Mathematical concepts, formulas, or principles
General business practices or risk-management frameworks
Ideas, concepts, or abstract methodologies
Public domain information
Facts or factual compilations as distinguished from their original arrangement

MastiffMode protects its original expression of these concepts, not the underlying ideas themselves.

5.3 Feedback

If you submit suggestions, feature requests, bug reports, or improvements ("Feedback"), MastiffMode may use that Feedback without obligation to you. MastiffMode may implement Feedback, modify it, or decline it. You grant MastiffMode a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate Feedback into the Service or other MastiffMode products. You waive any claim to compensation for Feedback unless applicable law prohibits such waiver.

6.1 Three Separate Required Acknowledgments

Account creation requires that you affirmatively check three separate acknowledgments. These are not combined or pre-checked. Leaving any unchecked prevents account creation.

MastiffMode does not provide financial advice, trading signals, trade recommendations, market predictions, brokerage services, or guarantees of trading performance or profitability. I understand that I remain solely responsible for my trading decisions.

6.2 Consent Records

Your acceptance of these acknowledgments is recorded in our systems, including:

The date and time of acceptance
Which version of each document you accepted
Your account creation completion

These records are retained for as long as your account exists, plus a reasonable retention period for legal compliance.

7. User Content and Ownership

7.1 Your Content

You retain ownership of content you create and store in MastiffMode, including:

Journal entries and trading reflections
Screenshots and uploaded evidence
Psychology and emotional-state records
Strategy documentation and personal notes
Development reflections and personal observations
Any other original content you create

MastiffMode does not claim ownership of your content.

7.2 License to MastiffMode

By storing content in MastiffMode, you grant MastiffMode a limited license to:

Host and store your content
Reproduce it technically for backup and restore purposes
Display it in your account
Process and analyze it to provide Service features
Transmit it to authorized services (e.g., mentors you have authorized)
Use it to improve the Service (e.g., analytics on anonymized patterns)

MastiffMode may not sell, publicly display, or commercially exploit your personal content without explicit written consent.

7.3 Mentor Access

If you establish a mentor relationship in MastiffMode, your mentor may access certain records you designate as part of that relationship, including:

Trades and trade details
Journal entries related to specific trades
Psychology records you choose to share
Development milestones

Your mentor access is limited to the scope of your authorized relationship. You may terminate mentor access at any time by ending the relationship.

7.4 Your Responsibility for Content

You are solely responsible for the accuracy, legality, and appropriateness of your content. You warrant that:

Your content does not infringe anyone else's rights
Your content does not violate any law
You have the right to upload and share any content you store in MastiffMode
Your content does not contain malware or harmful code

MastiffMode has no obligation to monitor or review your content, but reserves the right to remove content that violates these Terms.

8. Trading and Financial Risk

8.1 No Financial Advice

MastiffMode provides educational tools and trader-development resources only. MastiffMode does not and does not claim to:

Provide financial advice
Recommend specific trades or instruments
Generate trading signals
Predict market direction or price movement
Guarantee profits, returns, or account growth
Manage money on your behalf
Act as a broker or brokerage firm
Act as a financial adviser or fiduciary

All trading decisions are entirely your responsibility.

8.2 Trading Risk

Trading financial markets involves substantial risk, including:

Risk of total loss of capital
Risk of account liquidation
Risk of margin calls and forced closure
Risk of slippage and execution gaps
Risk of algorithmic or flash-crash losses
Risk of broker failure
Risk of regulatory changes affecting your positions

Past performance does not guarantee future results. Hypothetical examples, simulated trading, and historical backtests do not predict actual future performance.

8.3 Educational Limitations

Completing MastiffMode educational content does not:

Establish trading competence or skill
Guarantee trading success or profitability
Qualify you to trade professionally
Establish you as a professional trader
Create any license or credential to manage others' money
Provide any guarantee or warranty regarding your trading outcomes

8.4 Analytical Information

MastiffMode analytics describe your recorded trading history and behavior. They are not:

Predictions of future performance
Advice on future trading
Recommendations for strategy changes
Guarantees of consistency

9. Mentor Relationship Terms

9.1 Mentor Relationships Are Non-Exclusive

Your relationship with a mentor does not create exclusivity, employment, partnership, or fiduciary relationship. A mentor is:

An experienced trader providing guidance and feedback
Not responsible for your trading outcomes
Not liable for losses, missed opportunities, or poor performance
Not acting as your financial adviser or broker

9.2 Mentor Responsibilities

Mentors agree to:

Treat your information with confidentiality
Provide feedback only within the scope of trading development
Respect your autonomy and decision-making authority
Not pressure you to take specific trades
Not guarantee profitability or outcomes
Follow MastiffMode guidelines for appropriate mentor conduct

9.3 Mentor Access Limitations

Mentors may access only:

Information within your authorized mentor relationship
Records you have explicitly shared or made available
Trades and development records necessary for feedback

Mentors may not:

Export or retain your data after the relationship ends (except with your written consent)
Share your information with other traders or third parties
Use your trading information competitively
Claim ownership of your strategy or records

9.4 Terminating Mentor Relationships

You may terminate a mentor relationship at any time. Upon termination:

The mentor loses access to your records
Previous feedback and communications remain in your account
The mentor may not retain or further use your data

10. Third-Party Services

MastiffMode uses third-party service providers to operate the Service, including:

Supabase (database and authentication)
Vercel (hosting and deployment)
Email service providers
Analytics services (where enabled)

These providers are subject to their own terms and privacy policies. MastiffMode is not responsible for their conduct or compliance, though we work to ensure they meet our security and privacy standards. By using MastiffMode, you acknowledge that your data is processed by these providers.

11. Artificial Intelligence and Automated Tools

11.1 AI Features

Some MastiffMode features may include AI-assisted explanations, clarifications, and educational support. Where AI is used:

AI clarifies educational material and trader-development concepts
AI does not provide financial advice, predictions, or trading signals
AI does not make trading decisions or recommendations
AI outputs may be incomplete, inaccurate, or misleading

11.2 Your Responsibility

You are responsible for:

Evaluating AI outputs critically
Verifying important information independently
Not relying solely on AI for any significant decision
Recognizing AI limitations

AI is a tool to support learning, not a substitute for human judgment.

11.3 No Fiduciary Relationship

No AI feature creates a fiduciary relationship, investment advisory relationship, or any obligation for MastiffMode to prioritize your interests over business interests.

12. Prohibited Conduct

You agree not to:

Violate any applicable law or regulation
Use the Service to facilitate illegal activity
Harass, threaten, defame, or intimidate other users
Impersonate another person or entity
Create multiple accounts to circumvent restrictions
Interfere with the Service's operation or security
Disrupt other users' access or experience
Use the Service to transmit malware, viruses, or harmful code
Engage in price manipulation, pump-and-dump schemes, or market manipulation
Share trading advice you represent as professional or regulated when it is not
Solicit funds from other users
Use the Service for any commercial purpose outside the scope of personal development

13. Suspension and Termination

13.1 Termination by MastiffMode

MastiffMode may suspend or terminate your access if:

You materially breach these Terms
Your use violates applicable law
Your use exposes MastiffMode to legal liability
Your conduct harms other users or the Service
You attempt to access systems you are not authorized to access

Termination may be immediate and without notice for serious violations.

13.2 Termination by You

You may terminate your account at any time by requesting account deletion through your account settings. Upon termination:

You lose access to the Service
Your account data is handled according to the Privacy Policy
Certain records may be retained for legal compliance (see Privacy Policy)

13.3 Effects of Termination

Upon termination:

Your license to use the Service ends immediately
You must cease all use of MastiffMode materials
Sections 4-5 (restrictions and intellectual property) survive termination
Mentor relationships end, and mentors lose access to your data

14. Disclaimers and Limitation of Liability

14.1 As-Is Service

MastiffMode is provided "as is" without warranties of any kind, express or implied, including:

Warranties of merchantability or fitness for a particular purpose
Warranties that the Service will be error-free or uninterrupted
Warranties that defects will be corrected
Warranties that the Service is secure or free from harmful code

14.2 Limitation of Liability

To the fullest extent permitted by applicable law, MastiffMode is not liable for:

Any indirect, incidental, special, or consequential damages
Lost profits, lost revenue, or lost data
Trading losses or missed opportunities
Account liquidation or margin calls
Broker failures or execution problems
Third-party conduct or platform failures
Any damages arising from your use or inability to use the Service

This limitation applies regardless of the legal theory (contract, tort, or otherwise).

14.3 Liability Cap

MastiffMode's total liability for any claim shall not exceed the fees you have paid to MastiffMode in the 12 months preceding the claim.

14.4 No Guarantee of Results

MastiffMode does not guarantee:

That you will become profitable
That you will pass funded-trader evaluations
That you will obtain capital from prop-trading firms
That you will consistently follow your own strategy
Any specific outcome or performance

15. Indemnification

You agree to indemnify, defend, and hold harmless MastiffMode, its officers, directors, employees, and agents from any claims, damages, or costs (including attorney's fees) arising from:

Your violation of these Terms
Your use of the Service
Your content or violation of others' rights
Your trading activity or investment decisions
Your breach of applicable law

This indemnification does not apply to claims resulting solely from MastiffMode's gross negligence or willful misconduct.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2 Dispute Resolution

Informal Resolution: Before initiating any legal proceeding, you agree to contact MastiffMode and attempt to resolve the dispute informally.

Binding Arbitration: Any dispute, claim, or controversy (including those based on contract, tort, statute, or otherwise) shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be:

Conducted in Massac County, Illinois (or by videoconference)
Decided by a single arbitrator
Confidential
Limited to individual claims (no class actions)

Each party bears its own attorney's fees unless the arbitrator awards them to the prevailing party.

Exceptions: Disputes concerning intellectual-property infringement or urgent injunctive relief may be brought in court.

16.3 Class Action Waiver

You agree not to bring any claim on a class-action, collective-action, or representative basis. Arbitration must be on an individual basis only.

17. Modifications to Terms

MastiffMode may modify these Terms at any time. If changes are material, we will notify you by email or by prominent posting. Your continued use of the Service after changes become effective constitutes acceptance.

If a modification materially reduces your rights or increases your obligations, you have the right to terminate your account within 30 days of the change and receive a proportional refund of any prepaid fees (if applicable).

18. Severability

If any provision of these Terms is found to be unenforceable, that provision is severed, and the remaining provisions remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, Trading Risk Disclosure, and any other policies referenced here, constitute the entire agreement between you and MastiffMode and supersede all prior and contemporaneous agreements and understandings.
